Terms of Service

Effective Date: 9 October 2026

1. Agreement

These Terms are between you and Ontologic Intelligence Ltd (Company No. 16545704), registered in England and Wales at 128 City Road, London, EC1V 2NX, United Kingdom (“we”, “us”), regarding VoicePrompt™ (the “Software”) and this website. By purchasing, downloading, or using the Software or site, you agree to these Terms. If you do not agree, do not use the Software.

2. Licenses

Subject to these Terms and payment where required, we grant you a non-exclusive, non-transferable (except as stated) license to install and use the Software on Windows as follows:

  • Free: dictation and features included in the free build, for evaluation and personal use as described on the site.
  • Personal: lifetime license for non-commercial personal or student use on one (1) device.
  • Professional: lifetime license for commercial use on up to two (2) devices.
  • Business: seat subscription for teams when offered. Seat counts, transfer rules, and billing (including any waitlist terms) are as stated at purchase or invite. Business is not a lifetime personal license.

Personal and Professional include optional Computer Use, which is off by default and requires a supported provider account or key. Provider fees and terms are separate from the VoicePrompt license.

License keys are personal to you or your organisation. Device limits are as stated for your tier. Honor-system commercial use applies where we say so on the pricing page: if you bill clients or use VoicePrompt in paid work, buy Professional (or Business seats when available), not Personal.

3. Restrictions

You may not:

  • Sell, rent, lease, or publicly share license keys except as allowed for Business seat administration
  • Reverse engineer, decompile, or disassemble the Software except where mandatory law allows
  • Remove or alter proprietary notices
  • Use the Software for unlawful purposes
  • Circumvent license or device limits
  • Redistribute the Software except as we expressly permit (for example sharing a download link to our site)

4. Third-party services

Local transcription can work without an API key. Optional cloud transcription and editing use providers you choose, through a key or the available Google sign-in option. You are responsible for provider accounts, fees, and compliance with their terms. We are not liable for third-party outages, pricing, or policy changes. Content you send to a provider is governed by that provider's terms.

5. Sales and refunds

Checkout is not open yet. Before sales begin, we will explain the purchase, cancellation, and refund process at checkout. If you are a consumer, your statutory rights for faulty digital content still apply. Where applicable, a 14-day cancellation right for digital content may be lost only after you expressly consent to immediate supply and acknowledge that consequence before delivery begins. Contact support@voiceprompt.app about a purchase concern.

6. Updates and support

  • Updates: paid lifetime licenses include updates we choose to release for that product line while we support it.
  • Support: as described on the pricing page (for example email support for Personal, priority for Professional).
  • No uptime SLA for third-party AI APIs or your local environment.

7. Intellectual property

We and our licensors own the Software, branding, and site content. Your license is a right to use, not a sale of ownership. Feedback you send may be used to improve the product without obligation to you.

8. Disclaimer

THE SOFTWARE AND SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TRANSCRIPTION ACCURACY, OR UNINTERRUPTED OPERATION, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR BUSINESS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SOFTWARE OR THESE TERMS IS LIMITED TO THE AMOUNT YOU PAID US FOR THE LICENSE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. Nothing in these Terms excludes liability that cannot be excluded under English law (including for death or personal injury caused by negligence, or fraud).

10. Indemnity

You will indemnify us against claims arising from your misuse of the Software, your content, your breach of these Terms, or your use of third-party APIs.

11. Suspension and termination

We may suspend or terminate a license if you materially breach these Terms (for example key abuse or fraud). On termination you must stop using the Software and delete copies in your control. Sections that by nature should survive (including IP, disclaimer, liability, indemnity, and governing law) survive termination.

12. Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer you may also bring proceedings in your country of residence where mandatory law requires.

13. Changes

We may update these Terms by posting a new version on this page. Continued use after the Effective Date changes constitutes acceptance, except where mandatory law requires otherwise for existing paid licenses.
